Welcome to Grid&Glow LLC's Terms and Conditions. This document outlines the legal agreement between you and Grid&Glow LLC when you use our website gridandglow.com and purchase our products or services.

Grid&Glow LLC specializes in creating and selling premium PSD mockups, 3D models, digital design assets, and providing custom mockup design services.

Important: By using gridandglow.com, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, please do not use our services.

Terms of Use

Unless otherwise specified, the terms of use detailed in this section apply generally when using gridandglow.com.

User Requirements

By using gridandglow.com, Users confirm to meet the following requirements:

  • There are no restrictions for Users in terms of being Consumers or Business Users
  • Users must be at least 18 years old or have parental/guardian consent
  • Users agree to provide accurate and complete information
  • Users agree to comply with all applicable laws and regulations

Account Registration

Creating an Account

To use certain features of our service, Users must register or create a User account, providing all required data or information in a complete and truthful manner. Failure to do so will cause unavailability of the service.

Account Security

Users are responsible for:

  • Keeping their login credentials confidential and safe
  • Choosing passwords that meet the highest standards of strength
  • All activities that occur under their username and password
  • Immediately informing Grid&Glow LLC if they believe their account has been compromised

Account Termination

Users can terminate their account and stop using the service at any time by contacting Grid&Glow LLC at the contact details provided in this document.

Account Suspension and Deletion

Grid&Glow LLC reserves the right, at its sole discretion, to suspend or delete at any time and without notice, User accounts that it deems inappropriate, offensive or in violation of these Terms. The suspension or deletion of User accounts shall not entitle Users to any claims for compensation, damages or reimbursement.

Content and Intellectual Property Rights

Content Ownership

Unless where otherwise specified or clearly recognizable, all content available on gridandglow.com is owned or provided by Grid&Glow LLC or its licensors. Grid&Glow LLC holds and reserves all intellectual property rights for any such content.

Usage Restrictions

Users may not use such content in any way that is not necessary or implicit in the proper use of the Service. In particular, but without limitation, Users may not:

  • Copy, download, or share content beyond the limits set forth in the applicable license agreement
  • Modify, translate, transform, publish, transmit, sell, or sublicense the content beyond license permissions
  • Edit, transfer, or assign to third parties or create derivative works from the content except as permitted by license
  • Allow any third party to access, use, or download content through the User's account or device

License Types

Grid&Glow LLC offers digital products under different license types depending on the product category and intended use. Each license grants specific rights and imposes certain restrictions. By purchasing or downloading any product, you agree to the terms of the applicable license.

Part A: Ready-Made Products (PSD Mockups and 3D Models)

All ready-made products available for purchase on gridandglow.com, including PSD mockup files and 3D models for printing or rendering, are licensed under one of the following three license types:

1. Personal License

Intended Use: Non-commercial, personal use only. Ideal for personal projects, learning, portfolios (non-commercial), or educational work.

You MAY:

  • Use the licensed asset in unlimited personal, non-commercial projects
  • Display the asset on your personal computer or personal devices
  • Create image prints for personal, non-commercial display in your home
  • Use in your personal portfolio to showcase your skills (not for client acquisition or commercial promotion)
  • Use for educational purposes or learning graphic design, 3D modeling, or related skills
  • Use on one personal social media account for non-commercial activities only

You MAY NOT:

  • Use in any project where money is exchanged, fees are collected, or financial gain results
  • Use in professional client work or freelance projects
  • Use in business social media accounts or to promote any business, product, or service
  • Use in physical or digital paid advertisements of any kind
  • Use in apps, software, games, or any digital development projects
  • Share, redistribute, resell, or sublicense the asset in any form
  • Use 3D models for commercial 3D printing services or to sell printed objects

2. Commercial License

Intended Use: Professional client work, business marketing, and commercial projects with standard distribution.

Sales Limitation: The licensed asset may appear in end products that are sold or distributed up to 5,000 times total. If you exceed 5,000 sales or distributions, you must purchase an Extended Commercial License or an additional Commercial License.

You MAY:

  • Use in unlimited professional client projects (freelance work, agency work, design services)
  • Use in one business social media account owned and managed by the licensee
  • Create physical end products for commercial sale: merchandise, clothing, packaging, labels, stickers, business cards, invitations, etc. (up to 5,000 units sold)
  • Use in product packaging and branding for any number of separate products (each limited to 5,000 units)
  • Create digital end products for sale: e-books, digital publications, templates, graphics (up to 5,000 sales total)
  • Use in physical advertisements in local markets: billboards, signage, printed collateral within 200-mile radius
  • Use in digital paid advertisements with unlimited impressions: Google Ads, Facebook Ads, Instagram Ads, LinkedIn Ads, etc.
  • Use in blog posts, websites, and streaming content with up to 500,000 lifetime viewers
  • Use 3D models to create printed objects for sale (up to 5,000 units total)
  • Use 3D models in commercial rendering projects for clients

You MAY NOT:

  • Use in multiple business social media accounts (each account requires a separate license)
  • Use in print-on-demand, made-to-order, or download-on-demand applications where end users can customize
  • Use in physical advertisement campaigns reaching national or global markets (requires Extended Commercial License)
  • Use in broadcast, streaming, or audiovisual works with more than 500,000 lifetime viewers
  • Use in software development: website software, mobile apps, desktop applications, or video games
  • Use in end products sold or distributed more than 5,000 times (requires Extended Commercial License)
  • Resell, redistribute, or sublicense the asset in its original form or in modified source file form
  • Share download links or provide file access to clients, colleagues, or third parties

3. Extended Commercial License

Intended Use: High-volume commercial use, mass production, digital development, broadcast media, and unlimited distribution.

Sales Limitation: The licensed asset may appear in end products that are sold or distributed up to 250,000 times total. If you exceed 250,000 sales or distributions, you must purchase an additional Extended Commercial License.

You MAY (all Commercial License rights PLUS):

  • Use in unlimited business social media accounts owned and managed by the licensee
  • Use in physical end products sold or distributed up to 250,000 units total
  • Use in digital end products sold or distributed up to 250,000 times total
  • Use in physical advertisement campaigns of any scale: national, global, unlimited reach
  • Use in television advertisements: commercials, promos, infomercials on network, cable, satellite, streaming services
  • Use in broadcast and streaming content with unlimited lifetime viewers
  • Use in one website software project, mobile app, desktop application, or video game
  • Use in digital publications, e-books, and interactive media with unlimited distribution
  • Use 3D models to create printed objects for sale up to 250,000 units total
  • Use 3D models in commercial 3D printing services with up to 250,000 prints

Digital Development Limitation: The licensed asset may be used in ONE title only (one website, one app, one game). Each additional title requires a separate Extended Commercial License.

You MAY NOT:

  • Use in print-on-demand, made-to-order, or download-on-demand applications where end users can customize
  • Allow anyone other than the licensee to access or customize the licensed asset
  • Resell, redistribute, or sublicense the asset in source file form or in any form competitive with the original
  • Use as part of a trademark, service mark, or trade name unless significantly altered and not the predominant element
  • Create NFTs (non-fungible tokens) using the licensed asset
  • Exceed 250,000 sales or distributions without purchasing an additional license

Free License

Free mockups and 3D models available on gridandglow.com are licensed under the same terms as the Commercial License with the following additional restrictions:

  • All Commercial License permissions apply
  • You MAY NOT resell, redistribute, or upload free assets to marketplaces or file-sharing sites
  • You MAY NOT claim free assets as your own creation
  • You MAY NOT offer free assets as downloads (even if modified) on your own website or platform
  • Subject to the same 5,000 sales limitation as Commercial License

Part B: Custom Services (Custom Mockups and 3D Models)

Custom design services commissioned directly from Grid&Glow LLC operate under a work-for-hire arrangement with two license options:

1. Standard Custom License

What You Receive:

  • Final PSD mockup file with fully editable layers and embedded smart objects
  • License to use the PSD file for unlimited commercial projects
  • Source files necessary to edit and use the PSD (layer styles, adjustment layers, etc.)

What Grid&Glow LLC Retains:

  • Ownership of all 3D models, original geometry, textures, and scene files used to create the mockup
  • Right to reuse 3D models and techniques in future products or client projects
  • Right to showcase the completed work in portfolio, social media, and marketing materials (unless NDA prohibits)

Your Rights:

  • Full ownership of the delivered PSD file
  • Unlimited commercial use rights for the PSD in your projects
  • Right to modify, edit, and adapt the PSD for your specific needs
  • Right to use in unlimited end products and client projects

Restrictions:

  • You may not extract, reverse-engineer, or independently use the 3D models from the PSD
  • You may not resell or redistribute the PSD file as a standalone mockup product
  • You may not use the PSD to create competing mockup products for commercial sale
  • You may not share the PSD file with third parties (unless transferring to client as part of completed project)

2. Exclusive Custom License

Pricing: Typically 50% premium over Standard Custom License price.

What You Receive:

  • Final PSD mockup file with fully editable layers
  • All original 3D models in native format (Cinema 4D, Blender, or as specified)
  • All textures, materials, lighting setups, and scene files
  • Complete source files and project assets
  • Render settings and documentation

Full Ownership Transfer:

  • Complete intellectual property rights transfer to you upon final payment
  • You own the PSD file, 3D models, and all associated assets
  • Grid&Glow LLC retains no rights to the custom work after delivery
  • Grid&Glow LLC will not sell, license, or reuse the custom work in any form

Your Unrestricted Rights:

  • Modify, adapt, and create derivative works without limitation
  • Use in unlimited projects and applications
  • Resell the mockup as a commercial product if desired
  • License or sublicense to third parties
  • Use 3D models in other projects, renders, or products
  • Exclusive ownership with no restrictions on use or distribution

Grid&Glow LLC Portfolio Rights:

  • Grid&Glow LLC may showcase the work in portfolio and case studies unless you request otherwise or NDA prohibits
  • You may request anonymous portfolio use (work shown without your name or identifying details)
  • You may request complete exclusion from portfolio at no additional charge

General License Restrictions (All Types)

The following restrictions apply to ALL licenses unless explicitly stated otherwise:

  • No Sublicensing of Source Files: You may not resell, redistribute, or sublicense the licensed asset in its original source file form
  • No Competitive Use: You may not use licensed assets to create products that directly compete with Grid&Glow LLC's business
  • No File Sharing: You may not share download links, upload files to file-sharing sites, or distribute assets via torrent sites
  • No Account Sharing: Only the purchaser (licensee) may access and use the licensed assets
  • No Trademark Claims: You may not claim copyright or trademark ownership of the licensed asset itself
  • No NFT Creation: Licensed assets may not be used to create or mint NFTs (non-fungible tokens)

License Transfer and Assignment

Licenses are non-transferable except in the following circumstances:

  • Client Delivery: Commercial and Extended Commercial licensees may transfer completed end products (not source files) to clients as part of professional services
  • Business Acquisition: Licenses may transfer if your business is acquired, merged, or sold, provided the new owner agrees to license terms
  • Exclusive Custom License: May be freely transferred or assigned as you own full rights
  • Prior Written Permission: Any other transfer requires prior written permission from Grid&Glow LLC

License Upgrades

You may upgrade your license at any time by paying the difference in price:

  • Personal → Commercial: Pay the difference between Personal and Commercial license prices
  • Personal → Extended Commercial: Pay the difference between Personal and Extended Commercial prices
  • Commercial → Extended Commercial: Pay the difference between Commercial and Extended Commercial prices
  • Contact hello@gridandglow.com with your order number to request a license upgrade

Enforcement and Penalties

Violation of license terms constitutes material breach of this Agreement and may result in:

  • Immediate termination of license and account access without refund
  • Legal action to recover damages, attorney fees, and court costs
  • DMCA takedown notices to platforms hosting unauthorized copies
  • Claims for statutory damages up to $150,000 per work under 17 U.S.C. § 504(c) (US Copyright Act)
  • Injunctive relief to prevent continued infringement
  • Reporting to relevant marketplaces and authorities

File Sharing and Distribution Prohibitions

The following activities are strictly prohibited and constitute material breach:

  • Sharing download links with any person, including colleagues, clients, contractors, or employees
  • Uploading purchased files to file-sharing sites (Dropbox, Google Drive, WeTransfer) for others to download
  • Uploading to torrent sites, peer-to-peer networks, or public file repositories
  • Distributing files via email, messaging apps, or cloud storage to third parties
  • Allowing others to access your Grid&Glow LLC account to download products
  • Using screen-sharing or remote desktop to allow others to access purchased files
  • Creating unauthorized backup copies for distribution purposes

Important: If you need to provide mockups to a client or colleague, they must purchase their own license, or you must deliver only the final rendered output (not the source PSD or 3D model files).

Monitoring and Compliance

While Grid&Glow LLC does not actively monitor your use of licensed assets, you are responsible for:

  • Tracking your sales and distributions to ensure compliance with license limits
  • Purchasing additional licenses when you exceed sales thresholds
  • Maintaining records of your license purchases and usage
  • Responding promptly to any compliance inquiries from Grid&Glow LLC

DMCA and Copyright Protection

DMCA Takedown Notices

If you believe content on gridandglow.com infringes your copyright, you may submit a DMCA notification to our Copyright Agent at hello@gridandglow.com including:

  • Physical or electronic signature of person authorized to act on behalf of copyright owner
  • Identification of copyrighted work claimed to have been infringed
  • Identification of infringing material and information to locate it
  • Your contact information (address, telephone, email)
  • Statement of good faith belief that use is not authorized
  • Statement under penalty of perjury that notification is accurate and you are authorized to act

Notices must comply with 17 U.S.C. § 512(c)(3). Incomplete notices may be rejected.

DMCA Counter-Notification

If Grid&Glow LLC receives a DMCA takedown notice for content you created or uploaded, we will notify you via email and may temporarily disable access. You have 10 business days to submit a counter-notification including:

  • Your physical or electronic signature
  • Identification of removed content and its former location
  • Statement under penalty of perjury that removal was a mistake or misidentification
  • Your contact information
  • Statement consenting to jurisdiction of Federal District Court for the district where you reside (or Portland, Oregon if outside US)
  • Statement that you will accept service of process from the complainant

Repeat Infringer Policy

Grid&Glow LLC maintains a strict repeat infringer policy in compliance with DMCA requirements:

  • Accounts with 3 or more valid DMCA claims will be permanently terminated
  • No refunds issued for accounts terminated due to copyright infringement
  • Grid&Glow LLC reserves right to terminate accounts after a single severe violation
  • Terminated users may be prohibited from creating new accounts

International Copyright Compliance

Grid&Glow LLC respects international copyright laws and treaties:

  • Berne Convention: Our products are protected in all 179 member countries
  • WIPO Copyright Treaty: Digital rights management protections apply globally
  • EU Copyright Directive: Additional protections for EU users and creators
  • Local Enforcement: We will enforce our rights in your local jurisdiction if necessary

Acceptable Use

The gridandglow.com website and services may only be used within the scope of what they are provided for, under these Terms and applicable law.

Prohibited Activities

Users are solely responsible for ensuring that their use of gridandglow.com and/or our services does not violate any applicable law, regulations or third-party rights. Grid&Glow LLC reserves the right to take any appropriate measure to protect its legitimate interests whenever Users engage in or are suspected to engage in any of the following activities:

  • Violate laws, regulations and/or these Terms
  • Infringe any third-party rights
  • Considerably impair Grid&Glow LLC's legitimate interests
  • Offend Grid&Glow LLC or any third party
  • Use our services to distribute malware or harmful code
  • Attempt to gain unauthorized access to our services or related systems

Terms and Conditions of Sale

Paid Products

Some of the Products provided on gridandglow.com are provided on the basis of payment. The fees, duration and conditions applicable to the purchase of such Products are described on gridandglow.com.

Product Description

Prices, descriptions or availability of Products are outlined in the respective sections of gridandglow.com and are subject to change without notice. While Products are presented with the greatest accuracy technically possible, representation on gridandglow.com is for reference only and implies no warranty as to the characteristics of the purchased Product.

Purchasing Process

The purchasing process includes these steps:

  1. Users must choose the desired Product and verify their purchase selection
  2. Users review the information displayed in the purchase selection
  3. Users place the order by submitting it

Order Submission

When the User submits an order:

  • The submission determines contract conclusion and creates an obligation to pay the price, taxes and possible further fees
  • If the purchased Product requires an action from the User (such as providing project specifications), the order submission creates an obligation for the User to cooperate accordingly
  • Upon submission, Users will receive a receipt confirming that the order has been received

Offers and Discounts

Grid&Glow LLC may offer discounts or provide special offers for the purchase of Products. Any such offer or discount shall always be subject to the eligibility criteria and terms and conditions set out in the corresponding section of gridandglow.com. Offers and discounts are granted at Grid&Glow LLC's sole discretion and do not create any claim/title or right that Users may enforce in the future.

Coupons

Unless otherwise stated, these rules apply to the use of Coupons:

  • Each Coupon is only valid when used in the manner and within the timeframe specified
  • A Coupon may only be applied, in its entirety, at the actual time of purchase
  • Single-use Coupons may only be used once per purchase
  • A Coupon cannot be applied cumulatively with other offers
  • The Coupon must be redeemed exclusively within the time specified in the offer
  • The User is not entitled to any credit/refund/compensation if there is a difference between the Coupon value and redeemed value

Payment and Pricing

Accepted Payment Methods

Information related to accepted payment methods is made available during the purchasing process. Payment methods may include:

  • Credit and debit cards (Visa, Mastercard, American Express)
  • PayPal
  • Stripe
  • Shop Pay
  • Apple Pay and Google Pay
  • Other methods as specified on the checkout page

Payment Processing

All payments are independently processed through third-party services. Therefore, gridandglow.com does not collect or store any payment information such as credit card details. We only receive notification once the payment has been successfully completed.

By providing payment information, you represent and warrant that:

  • You are authorized to use the payment method
  • The information you provide is accurate and current
  • You will notify us immediately of any unauthorized use of your payment method

Pricing

  • Currency: All prices are displayed in USD (United States Dollars)
  • Price at Purchase: The price applicable to your order is the price displayed at the time of order submission
  • Price Changes: Prices are subject to change at any time without notice
  • Promotional Pricing: Promotional prices and discounts may expire at any time and do not create any obligation for future pricing
  • No Price Matching: We do not offer retroactive price adjustments if prices decrease after your purchase

Custom Project Pricing

  • Quote Validity: Custom project quotes are valid for 14 days from the date of issue
  • Deposit Required: 50% deposit required before work begins on custom projects
  • Balance Due: Remaining 50% balance due upon project completion, before delivery of final files
  • Hourly Rate: $80/hour for scope changes, additional revisions, or hourly consulting
  • Rush Fee: Projects requiring delivery in under 5 business days incur 50% rush fee on total project cost

Taxes and Fees

  • Sales Tax/VAT: Prices do not include applicable sales tax, VAT, or GST unless explicitly stated
  • Tax Calculation: Applicable taxes are calculated at checkout based on your billing address
  • Tax Exemption: Business-to-Business clients may provide valid tax exemption certificates
  • International Fees: You are responsible for any currency conversion fees, international transaction fees, or import duties imposed by your bank or country
  • Tax Compliance: You are responsible for determining and paying any taxes applicable in your jurisdiction

Failed Payments

If a payment through the available methods fails or is refused by the payment service provider:

  • The Owner shall be under no obligation to fulfill the purchase order
  • Your order may be automatically cancelled
  • The Owner reserves the right to claim any related expenses or damages from the User
  • Access to purchased products will not be granted until successful payment is received

Retention of Rights

Users do not acquire any rights to use the purchased Product until the total purchase price is received by Grid&Glow LLC. Until full payment is received:

  • Ownership of digital products remains with Grid&Glow LLC
  • No license rights are granted
  • Access to downloads may be restricted
  • Custom work will not be delivered

Delivery

Delivery of Digital Content

Unless otherwise stated, digital content purchased on gridandglow.com is delivered via download on the device(s) chosen by Users.

Users acknowledge and accept that:

  • The intended device(s) and software must be legal, commonly used, up-to-date, and consistent with current market-standards
  • The ability to download the purchased Product may be limited in time and space
  • Download links are provided via email and/or User account dashboard
  • Download links typically expire after 30 days from purchase date
  • Re-delivery of expired download links may incur a $10 administrative fee
  • Users are responsible for downloading and backing up their purchased files

Custom Mockup Services

Custom design services are delivered according to the following terms:

Project Scope and Timeline

  • Project Brief Required: Client must provide complete project brief, specifications, and all necessary assets before work begins
  • Standard Delivery: 5-10 business days from brief approval, depending on project complexity
  • Rush Delivery: Projects requiring delivery in under 5 business days incur a 50% rush fee
  • Scope Changes: Changes to project scope after work has commenced may incur additional fees at our hourly rate of $80/hour
  • Project Delays: Projects delayed due to client non-response for 30+ days may incur $25/week storage fees

Revisions Policy

  • Included Revisions: Standard custom projects include 2 rounds of revisions
  • What Counts as Revision: Adjustments to existing work based on original brief (color changes, minor layout adjustments, text updates)
  • What Is NOT a Revision: New designs, additional variations, changes to original scope, or requests outside original brief
  • Additional Revisions: Additional revision rounds beyond the included 2 are charged at $80/hour
  • Revision Deadline: Revision requests must be submitted within 7 days of initial delivery
  • Response Time: Client must respond to revision drafts within 5 business days to keep project active

Client Responsibilities

Clients are responsible for:

  • Providing all necessary assets including logos, product photos, text content, and brand guidelines
  • Ensuring all provided assets are legally owned or licensed for use
  • Providing clear, detailed specifications and reference examples
  • Responding to questions and revision requests within specified timeframes
  • Final approval of work before delivery of source files
  • Testing files upon receipt and reporting any technical issues within 7 days

Confidentiality and NDA

  • Standard Confidentiality: Grid&Glow LLC maintains confidentiality of all client projects and does not share files with third parties
  • NDA Available: Non-Disclosure Agreements available upon request for sensitive or confidential projects at no additional charge
  • Portfolio Usage: Unless NDA prohibits, Grid&Glow LLC may showcase completed work in portfolio, social media, and marketing materials
  • Client Anonymity: Clients may request anonymous portfolio usage (work shown without client name or identifying details)

File Delivery

  • Delivery Method: Final files delivered via WeTransfer, Google Drive, or Dropbox link
  • File Formats: PSD files with organized layers, 3D models in agreed format (C4D, Blender, etc.), and any additional specified formats
  • Link Expiration: Download links expire after 30 days
  • Re-delivery Fee: $25 fee applies for re-delivery after link expiration
  • Backup Responsibility: Client is responsible for downloading and backing up all delivered files

Refunds and Returns

No Refunds for Digital Products

Due to the nature of digital products, all sales are final once the download link has been accessed or files have been downloaded. We cannot offer refunds for:

  • Change of mind or buyer's remorse
  • Compatibility issues with software versions not listed in product requirements
  • User error, lack of technical knowledge, or inability to use the product
  • Products that function as described in the product listing
  • Failure to read product description or system requirements before purchase
  • Purchasing the wrong product or duplicate purchases (credit towards future purchase may be offered)
  • Dissatisfaction with the aesthetic or style of the product when accurately represented

When Refunds MAY Be Granted

Refunds may be granted at Grid&Glow LLC's sole discretion in the following circumstances:

  • Technical Defects: Significant technical defects that prevent the product from functioning as described, which cannot be resolved within 7 days of reporting
  • Misrepresentation: Significant discrepancy between product description/preview images and the actual delivered files
  • Corrupt Files: Files that are corrupted and cannot be repaired or re-delivered
  • Duplicate Purchases: Accidental duplicate purchases (credit or refund at Owner's discretion)

Custom Services Refund Policy

  • Deposit Non-Refundable: The 50% deposit required to begin work is non-refundable once work has commenced
  • Cancellation Before 50% Completion: If client cancels before project is 50% complete, 50% of the total project fee is refundable (deposit forfeited)
  • Cancellation After 50% Completion: If client cancels after project is 50% complete, no refund is provided
  • Grid&Glow LLC Cannot Deliver: If Grid&Glow LLC cannot deliver the custom service as agreed, full refund including deposit is issued
  • Scope Creep: Additional fees for scope changes are non-refundable

How to Request a Refund

To request a refund, contact hello@gridandglow.com within 7 days of purchase with:

  • Order number and date of purchase
  • Detailed explanation of the issue or defect
  • Screenshots or screen recordings demonstrating the problem (if applicable)
  • Steps you have taken to attempt to resolve the issue
  • Software version and system specifications

Refund requests are processed within 5-10 business days. If approved, refunds are issued to the original payment method within 7-14 business days.

Users acknowledge and accept that the right of withdrawal does not apply to contracts concluded over gridandglow.com due to the nature of its offering (digital content delivered immediately upon purchase).

For EU consumers, the right of withdrawal for digital content is waived when:

  • The digital content is not supplied on a tangible medium
  • The consumer has given express consent to begin performance before the end of the 14-day withdrawal period
  • The consumer has acknowledged losing the right of withdrawal by accessing the download

By clicking "Download" or accessing the product files, EU consumers expressly consent to immediate performance and acknowledge the loss of the right of withdrawal.

UK Consumer Rights

Users in the United Kingdom acknowledge and accept that the right to cancel does not apply to contracts for digital content when:

  • Performance has begun with the consumer's express consent
  • The consumer has acknowledged that this cancels their right to cancel

Brazilian Consumer Rights

Users in Brazil acknowledge that the right of regret does not apply to contracts concluded over gridandglow.com due to the immediate delivery of digital content upon purchase.

Chargebacks and Disputes

If you initiate a chargeback or payment dispute without first contacting Grid&Glow LLC to resolve the issue:

  • Your account will be immediately suspended
  • Access to all purchased products will be revoked
  • You may be liable for chargeback fees and legal costs
  • Future purchases may be prohibited

Guarantees

Legal Guarantee for Digital Products (EU)

Under EU law, for a minimum period of 2 years from delivery or, in case of Digital Products supplied continuously for more than 2 years for the entire supply period, traders guarantee conformity of the Digital Products they provide to Consumers.

Conformity for UK Users

Users in the United Kingdom qualifying as Consumers have a right to receive goods that are in conformity with the contract.

Legal Guarantee for Brazilian Consumers

The legal guarantee applicable to goods and services sold by gridandglow.com complies with the Consumer Protection Code:

  • Non-durable goods and services: 30-day guarantee
  • Durable goods and services: 90-day guarantee

Liability and Indemnification

Product Fitness and Suitability

While Grid&Glow LLC strives to provide high-quality digital products and services, we make no guarantee that:

  • Products will meet your specific project requirements without customization
  • Products are compatible with all software versions (compatibility is specified in product descriptions)
  • 3D renders will match your exact vision without adjustments
  • Files will function with pirated, cracked, or outdated software
  • Products will be suitable for your particular use case without modification
  • Color accuracy will be identical across all monitors and printing methods

Client Responsibility: It is your responsibility to:

  • Verify product specifications and requirements before purchase
  • Check software compatibility requirements listed in product description
  • Request custom services if standard products are insufficient for your needs
  • Test files upon receipt and report any technical issues within 7 days
  • Ensure you have legal, licensed software to open and use purchased files

Limitation of Liability

Unless otherwise explicitly stated or agreed with Users, Grid&Glow LLC's liability for damages in connection with the execution of the Agreement shall be excluded, limited and/or reduced to the maximum extent permitted by applicable law.

In no event shall Grid&Glow LLC be liable for:

  • Loss of profits, revenue, business opportunities, or data
  • Indirect, consequential, incidental, or punitive damages
  • Damages exceeding the amount paid for the specific product or service
  • Issues arising from user error, software incompatibility, or hardware limitations
  • Problems caused by modifications made to our products by users or third parties
  • Delays in custom project delivery due to client non-response or late feedback

User Indemnification

The User agrees to indemnify and hold Grid&Glow LLC harmless from and against any claim or demand made by any third party due to or in relation with:

  • Any culpable violation of these Terms
  • Third-party rights or statutory provisions connected to the use of our services
  • Any content submitted from User's account
  • User's willful misconduct or negligence
  • Misrepresentation of license compliance or usage rights
  • Unauthorized distribution or sharing of purchased products
  • Claims by end clients regarding work created using Grid&Glow LLC products

Export Compliance

Users are responsible for compliance with all applicable export and import laws in their jurisdiction. Grid&Glow LLC products may not be used in countries subject to U.S. trade embargoes or by persons on U.S. Treasury Department lists of prohibited parties.

US Users - Disclaimer of Warranties

The gridandglow.com website is provided strictly on an "as is" and "as available" basis. Use of our services is at Users' own risk. To the maximum extent permitted by applicable law, Grid&Glow LLC expressly disclaims all conditions, representations, and warranties—whether express, implied, statutory or otherwise, including but not limited to:

  • Any implied warranty of merchantability
  • Fitness for a particular purpose
  • Non-infringement of third-party rights
  • Accuracy, reliability, or correctness of content
  • Uninterrupted or error-free service
  • Freedom from viruses or harmful components

No advice or information, whether oral or written, obtained from Grid&Glow LLC or through our services will create any warranty not expressly stated herein.

Limitation of Liability - Jurisdictional Variations

Australian Users

Nothing in these Terms excludes, restricts or modifies any guarantee, condition, warranty, right or remedy which the User may have under the Competition and Consumer Act 2010 (Cth) or any similar state and territory legislation and which cannot be excluded, restricted or modified. To the fullest extent permitted by law, our liability to the User is limited, at Grid&Glow LLC's sole discretion, to re-performance of the services or payment of the cost of having the services supplied again.

EU Users

Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

Common Provisions

Service Interruption

To ensure the best possible service level, Grid&Glow LLC reserves the right to interrupt our services for maintenance, system updates or any other changes, informing the Users appropriately.

Service Reselling

Users may not reproduce, duplicate, copy, sell, resell or exploit any portion of gridandglow.com and our services without Grid&Glow LLC's express prior written permission.

Privacy Policy

Changes to These Terms

Grid&Glow LLC reserves the right to amend or otherwise modify these Terms at any time. In such cases, Grid&Glow LLC will appropriately inform the User of these changes. The continued use of our services will signify the User's acceptance of the revised Terms.

Assignment of Contract

Grid&Glow LLC reserves the right to transfer, assign, dispose of by novation, or subcontract any or all rights or obligations under these Terms. Users may not assign or transfer their rights or obligations under these Terms without the written permission of Grid&Glow LLC.

Governing Law and Jurisdiction

Governing Law

These Terms are governed by the law of the place where the Owner is based (Portland, Oregon, United States), without regard to conflict of laws principles.

Venue of Jurisdiction

The exclusive competence to decide on any controversy resulting from or connected to these Terms lies with the courts of the place where the Owner is based.

Exceptions

  • European Consumers: The above does not apply to any Users that qualify as European Consumers, nor to Consumers based in the United Kingdom, Switzerland, Norway or Iceland
  • Brazilian Consumers: The above does not apply to Users in Brazil that qualify as Consumers
  • Swiss Consumers: If the User qualifies as a Consumer in Switzerland, Swiss law will apply

Dispute Resolution

Users may bring any disputes to Grid&Glow LLC who will try to resolve them amicably. While Users' right to take legal action shall always remain unaffected, in the event of any controversy regarding the use of gridandglow.com or our services, Users are kindly asked to contact Grid&Glow LLC at the contact details provided in this document.

Grid&Glow LLC will process the complaint without undue delay and within 2 days of receiving it.
