Common Provisions

Service Availability, Maintenance and Changes

We run gridandglow.com and GridPack Studio as a live service and aim to keep them available at all times. We do not, however, promise uninterrupted availability, and we do not offer a service level agreement or uptime guarantee.

Planned maintenance

We carry out maintenance, updates and upgrades as needed. Where planned work is likely to make the service unavailable for a material period, we will give notice in advance by email or on the site, and we schedule such work outside peak hours wherever we can. Short routine deployments happen without notice and are usually unnoticeable.

Unplanned interruptions

Outages happen: at our end, at our hosting providers, at our payment processor, or across the wider internet. We work to restore service promptly. An interruption does not by itself entitle you to a refund.

Prolonged interruption of a paid membership

If a membership feature you are paying for is unavailable for more than 72 consecutive hours through no fault of yours, email us and we will extend your billing period by the affected time or credit a fair proportion of it, at your choice. This is your sole remedy for unavailability, and it does not apply where the cause is your own equipment, your network, or an event outside our reasonable control.

Changes to the service

We develop the service continuously. We may add, alter or remove features, change how something works, and change our technology, suppliers or hosting at any time.

  • Changes that add to, or do not materially reduce, what your tier includes may be made without notice.
  • Before materially reducing an entitlement of a tier you are paying for, or withdrawing a feature it includes, we give at least 30 days' notice by email. You may cancel within that window and receive a pro-rata refund of the unused portion of your current period.
  • Where a change is required to comply with the law, to address a security issue, or to prevent abuse, we may make it immediately and tell you as soon as we reasonably can.

If we discontinue the service

If we decide to stop offering gridandglow.com, GridPack Studio or a paid tier altogether, we will:

  • give you at least 60 days' notice by email;
  • stop taking renewal payments from the date of that notice;
  • refund the unused portion of any period you have already paid for, on a pro-rata basis;
  • keep export and download working for at least 30 days after the service closes, so you can take your saved projects and files with you.

Licences already granted for files you exported are not affected by the service ending. They continue under the terms that applied when you exported them.

Your data on the way out

You can export your saved projects and files at any time while your account is active. We do not hold your work hostage: if you cancel, the account and its projects remain, and you can export again by taking out a membership for a single period.

Events outside our control

We are not liable for any failure or delay caused by events beyond our reasonable control, including power or network failures, failures of hosting, payment or other suppliers, denial-of-service and other attacks, fire, flood, epidemic, industrial action, war, or acts of government. Where such an event continues for more than 30 days and prevents us from providing a membership you are paying for, either of us may end that membership and we will refund the unused portion.

Service Reselling

Users may not reproduce, duplicate, copy, sell, resell or exploit any portion of gridandglow.com and our services without Grid&Glow LLC's express prior written permission.

Privacy Policy

To learn more about the use of their personal data, Users may refer to the Privacy Policy of gridandglow.com.

Changes to These Terms

Grid&Glow LLC reserves the right to amend or otherwise modify these Terms at any time. In such cases, Grid&Glow LLC will appropriately inform the User of these changes. The continued use of our services will signify the User's acceptance of the revised Terms.

Assignment of Contract

Grid&Glow LLC reserves the right to transfer, assign, dispose of by novation, or subcontract any or all rights or obligations under these Terms. Users may not assign or transfer their rights or obligations under these Terms without the written permission of Grid&Glow LLC.

Memberships and Subscriptions

Grid&Glow LLC offers paid memberships that renew automatically. This section governs those memberships. Where it conflicts with any other section of these Terms, this section applies to membership purchases.

The short version

Your membership renews by itself at the price shown, every month or every year, until you cancel. You can cancel at any time from your account page, and you keep access until the end of the period you have already paid for. New members can cancel within 14 days of their first payment for a full refund.

What a Membership Includes

Each membership tier grants a defined set of entitlements, which are listed on the membership page at the time of purchase. Depending on the tier, these may include:

  • Access to GridPack Studio and specified export formats
  • A commercial licence for files exported while the membership is active
  • A standing discount on products in the shop and on studio services
  • Storage for saved projects, subject to the limits shown for that tier

Entitlements are tied to the tier you hold at the time you use them. We may add to what a tier includes at any time. We will not remove a material entitlement from a tier you are already paying for without giving you at least 30 days' notice by email, during which you may cancel and receive a pro-rata refund of the unused portion of your current period.

Automatic Renewal

Your membership renews automatically. Unless you cancel before the end of the current billing period, we will charge the payment method on file for a further period at the price then shown for your tier.

  • Billing period: monthly or annual, as chosen at purchase and shown on your account page.
  • Renewal date: the same calendar day of each period, shown on your account page as "Renews on".
  • Amount: the price for your tier and period, in US dollars, plus any tax applicable in your location.
  • Until cancelled: renewals continue indefinitely until you cancel or we end the membership under these Terms.

You consent to automatic renewal by ticking the renewal consent box at checkout. That consent is recorded separately from your acceptance of these Terms, together with the exact wording shown to you, the date, and the amount agreed.

Price Changes

We may change the price of a membership tier. A price change never applies to a period you have already paid for. We will give you at least 30 days' notice by email before a changed price takes effect on your renewal, and you may cancel at any point in that window. Continuing past the renewal date after such notice constitutes acceptance of the new price.

Cancelling

You can cancel at any time, with no fee and without giving a reason:

  • from the membership page on your account, which cancels immediately for the next renewal; or
  • by emailing hello@gridandglow.com from the address on your account.

Cancellation stops future renewals. It does not end the period you have already paid for: your membership and its entitlements remain active until that period ends, and nothing is charged after it.

What cancelling does not do

Cancelling does not delete your account, your saved projects, or any files you have already exported. It also does not reverse a charge already taken for the current period, except under the 14-day refund below or where the law requires otherwise.

14-Day Refund for New Members

If you cancel within 14 days of your first membership payment, we will refund that payment in full, regardless of where you live and regardless of how much you have used the membership during those 14 days. Email hello@gridandglow.com and we will process it to the original payment method.

This 14-day right applies to a first membership payment only. It does not apply to renewal payments, to a second membership taken out after a previous one was refunded, or to one-off purchases of products in the shop, which are governed by the Refunds and Returns section above.

Nothing in this section limits any statutory right of withdrawal or refund you may have under the law of your country. Where your statutory right is wider than what is offered here, your statutory right applies.

Failed Payments

If a renewal payment fails, our payment processor will retry it over approximately two weeks and will email you so that you can update your card. Your membership remains active during that period. If no attempt succeeds, the membership ends and your entitlements stop. You can start a new membership at any time afterwards.

Changing Tier

You can move between tiers at any time from your account page. We show the exact amount before anything is charged, and nothing changes until you confirm it.

  • Moving up takes effect immediately. You pay the new price for the remainder of the current period, less credit for the unused portion of what you had already paid.
  • Moving down takes effect at the end of the period you have paid for. You keep the higher tier until then, and nothing is refunded for the unused difference.

Member Discounts

Paid tiers carry a standing discount. How it reaches you differs between the two things it covers, and the difference is set out below: in the shop it is applied by the checkout itself, while a quoted service is priced by us with the discount already in it.

  • Products in the shop - mockups, 3D models and other downloads. The percentage for your tier is shown on the membership page.
  • Studio services - custom mockup and 3D work quoted by us. The discount is applied to the quote before you accept it; tell us you are a member when you ask for one.

Member discounts do not combine with other offers. Where a product is already on sale, or where you hold a coupon, the checkout applies one discount, not both. This is a limitation of how automatic discounts work and not a decision we make per order.

A discount applies to purchases made while the membership is active. It is not applied retrospectively to earlier orders, and it stops at once when the membership ends. Anything you bought at a member price remains yours under its own licence, permanently, as set out below.

Licences and Refunds on Discounted Purchases

A member discount changes the price, nothing else:

  • the licence attached to a product is the same one a non-member receives, with the same permissions and the same limits;
  • the refund rules in the Refunds and Returns section apply unchanged - a discounted download is still final once accessed;
  • if a membership payment is later refunded under the 14-day rule, purchases you made at the member price are not reversed or re-priced. You keep them at the price you paid.

What Survives the End of a Membership

When a membership ends, by cancellation, failed payment or otherwise:

  • Files you exported while the membership was active remain licensed to you under the licence that applied at the time of export, for the design work those files were exported for. That includes continuing to produce, reprint and distribute that work, and work already delivered to your own clients. Ending a membership does not withdraw rights already granted.
  • That surviving licence covers the work the file was made for. It does not let you use an exported file as source material for a new project begun after the membership ended. To start new work, hold a membership again.
  • A saved project you never exported carries no licence, because nothing was produced from it. It is simply your own data, and it stays in your account under the retention rules above.
  • Saved projects remain in your account, but you can no longer export from them until a membership is active again.
  • Member discounts stop applying to new purchases immediately.
  • Products you purchased at a member discount remain yours under their own licence, permanently.

Suspension and Termination by Us

We may suspend or end a membership, with notice where practicable, if you materially breach these Terms, including by sharing account access, exceeding a tier's entitlements by circumvention, or initiating a chargeback without first contacting us. Where we end a membership for a reason other than your breach, we refund the unused portion of your current period on a pro-rata basis.

GridPack Studio

GridPack Studio ("the Studio") is a browser-based packaging design tool made available to members at gridandglow.com/pages/gridpack. It generates dielines and three-dimensional models from parameters you supply.

Access

Access to the Studio requires a Grid&Glow account and, for paid features, an active membership of a tier that includes them. We may limit access to specific accounts where required to protect the service, including during capacity constraints or while investigating misuse.

What you can export, and in which formats, is determined by the tier you hold at the moment of export. Attempting to obtain entitlements you have not paid for, by any technical means, is a material breach of these Terms.

Your Designs and Files

  • You own what you design. Dimensions, artwork and design decisions you supply remain yours. We claim no ownership of them.
  • Files you export are licensed to you under the licence applicable to your tier at the time of export. Where a tier includes a commercial licence, that licence covers client work and products you sell.
  • The Studio itself, including its generation logic, templates and underlying software, remains the property of Grid&Glow LLC and its licensors. Your licence to use it ends when your membership ends.
  • Artwork you upload remains yours. You confirm that you hold the rights to any artwork you upload, and you are responsible for it.

Which Licence a Studio Export Carries

Files you export from the Studio are licensed under the licence that your tier includes at the moment of export, using the same licence definitions set out in the Licence Types section above:

  • Tiers without a commercial licence - the export is covered by the Personal Licence: personal and non-commercial use, no client work, no products for sale.
  • Tiers that include a commercial licence - the export is covered by the Commercial Licence, including its limit of 5,000 units sold or distributed per end product. Beyond that limit, an Extended Commercial Licence is required and can be purchased separately.

The membership page states which tiers include a commercial licence. A licence attaches at the moment of export and is not changed afterwards by a later upgrade, downgrade or cancellation: an export made under a Personal Licence stays personal, and one made under a Commercial Licence stays commercial. What that licence continues to permit after a membership ends, and what it does not, is set out under What Survives the End of a Membership above.

Saved Projects

Projects you save are stored so that you can return to them. We may set per-tier limits on the number of projects and the storage they occupy, as shown on the membership page. We may delete saved projects for accounts with no active membership after giving you at least 30 days' notice by email, and we recommend exporting anything you wish to keep.

The Studio is a design aid, not a proofing service

Dielines and models produced by the Studio are generated from the parameters you enter. Board thickness, allowances and tolerances vary by material, press and converter. You remain responsible for proofing any output with your printer or die-maker before production. We are not liable for production costs arising from a file used without such proofing.

Availability

We aim to keep the Studio available at all times, but we do not promise uninterrupted service and it is provided on an "as available" basis. Availability is governed by the Service Availability, Maintenance and Changes section below, which applies to the Studio as it does to the rest of the service.

Governing Law and Jurisdiction

Governing Law

These Terms are governed by the law of the place where the Owner is based (Portland, Oregon, United States), without regard to conflict of laws principles.

Venue of Jurisdiction

The exclusive competence to decide on any controversy resulting from or connected to these Terms lies with the courts of the place where the Owner is based.

Exceptions

  • European Consumers: The above does not apply to any Users that qualify as European Consumers, nor to Consumers based in the United Kingdom, Switzerland, Norway or Iceland
  • Brazilian Consumers: The above does not apply to Users in Brazil that qualify as Consumers
  • Swiss Consumers: If the User qualifies as a Consumer in Switzerland, Swiss law will apply

Arbitration and Class Action Waiver

Please read this part carefully

It affects how a dispute between us is decided, and it limits your ability to bring one as part of a group. It does not apply to consumers in the EU, the UK, Switzerland, Norway, Iceland or Brazil.

Except where excluded below, any dispute arising out of or relating to these Terms or to your use of gridandglow.com that cannot be resolved informally within 60 days of written notice shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Portland, Oregon, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver. Disputes shall be brought in an individual capacity only, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate the claims of more than one person and may not preside over any form of representative proceeding.

What is excluded from arbitration.

  • Claims that qualify for small claims court in the county of your residence or in Multnomah County, Oregon, which either of us may bring there instead.
  • Claims for injunctive relief relating to intellectual property or unauthorised access.
  • Consumers in the European Union, the United Kingdom, Switzerland, Norway, Iceland and Brazil, who keep every right to bring proceedings in the courts of their own country of residence, under their own law, and for whom this arbitration clause and the class action waiver do not apply.

Opting out. You may reject this arbitration clause by emailing hello@gridandglow.com with the subject line "Arbitration opt-out" within 30 days of first accepting these Terms. Opting out affects nothing else in these Terms and will not be held against you.

If the class action waiver is held unenforceable as to a particular claim, that claim shall proceed in court and the remainder of this section shall continue to apply to all other claims.

Dispute Resolution

Users may bring any disputes to Grid&Glow LLC who will try to resolve them amicably. While Users' right to take legal action shall always remain unaffected, in the event of any controversy regarding the use of gridandglow.com or our services, Users are kindly asked to contact Grid&Glow LLC at the contact details provided in this document.

We acknowledge complaints within 2 business days of receiving them, and work to resolve them without undue delay.
